1. What is a subcontractor?

A subcontractor is an entity that does not directly participate in the bidding but undertakes to perform part of the work of the bidding package, based on specific agreements stipulated in the contract signed with the main contractor.

According to the provisions of Clause 36, Article 4 of the Bidding Law 2013, a subcontractor is defined as an organization or individual participating in the implementation of a bidding package through a contract signed with the main contractor. In particular, in cases where subcontractors undertake important tasks, they must be clearly proposed by the main contractor in the bidding documents or proposal documents, based on the requirements in the bidding documents or request documents.

In short, a subcontractor is a partner that signs a contract with the main contractor to execute or implement a part of the work within the scope of the package that the main contractor has committed to the investor.

2. Difference between main contractor and subcontractor

The main contractor is the unit that is fully responsible for the implementation of the bid package, including ensuring the quality, progress and overall efficiency of the project. Meanwhile, the subcontractor is the unit assigned by the main contractor to perform a specific part of the bid package, based on the contract agreed upon between the two parties.

Simply put, a subcontractor is a party that supports the main contractor by implementing specific items in the project, based on a contract agreement between the two parties.

The subcontractor’s responsibility is to complete the assigned work on time and to the committed quality requirements. The subcontractor is only responsible to the main contractor and has no direct obligations to the project owner.

It is entirely possible for a subcontractor to perform similar work for different main contractors on different projects, as long as the terms of each individual contract are met.

4. Rights and obligations of subcontractors

According to Article 47 of Decree 37/2015/ND-CP, the rights and obligations of subcontractors are clearly defined as follows:

• Vật tư, thiết bị tạm nhập tái xuất cần được quy định chi tiết trong hợp đồng, ưu tiên sử dụng sản phẩm trong nước khi có thể.
• Nhà thầu phụ ngoài danh sách đã thỏa thuận ban đầu phải được chủ đầu tư chấp thuận trước khi ký hợp đồng.
• Tổng thầu, nhà thầu chính chịu trách nhiệm trước chủ đầu tư về tiến độ, chất lượng, an toàn lao động và bảo vệ môi trường, bao gồm cả phần việc giao cho nhà thầu phụ.
• Tổng thầu và nhà thầu chính không được phép giao toàn bộ nội dung gói thầu cho nhà thầu phụ.

2. Nhà thầu phụ do chủ đầu tư chỉ định

• Chủ đầu tư có thể chỉ định nhà thầu phụ để thực hiện các phần việc chuyên môn cao, trong trường hợp tổng thầu thi công xây dựng hoặc nhà thầu chính không đáp ứng được yêu cầu về tiến độ, chất lượng hoặc an toàn.
• Các bên trong hợp đồng cần thỏa thuận rõ các trường hợp mà chủ đầu tư có quyền chỉ định nhà thầu phụ.
• Tổng thầu và nhà thầu chính có quyền từ chối nhà thầu phụ được chỉ định nếu họ chứng minh được rằng phần việc của mình vẫn đảm bảo đúng hợp đồng hoặc có căn cứ cho rằng nhà thầu phụ được chỉ định không đủ điều kiện.

3. Thanh toán cho nhà thầu phụ

• Chủ đầu tư có thể thanh toán trực tiếp cho nhà thầu phụ dựa trên đề xuất của nhà thầu chính hoặc tổng thầu, trừ khi các bên đã có thỏa thuận khác.

4. Quyền và nghĩa vụ của nhà thầu phụ

• Nhà thầu phụ có đầy đủ quyền và nghĩa vụ của một bên nhận thầu theo Nghị định 37/2015/NĐ-CP và các quy định pháp luật liên quan.

5. Tỷ lệ % công việc nhà thầu phụ là bao nhiêu?

Hiện nay, chưa có văn bản pháp lý nào ấn định mức % tối đa nhà thầu phụ được thực hiện trong quá trình thi công. Tuy nhiên, nhà thầu chính không được giao toàn bộ (100%) công việc cho nhà thầu phụ.

Tỷ lệ công việc giao lại cho nhà thầu phụ sẽ phụ thuộc vào:

• Các quy định cụ thể trong hồ sơ mời thầu của từng gói thầu.
• Thỏa thuận chi tiết giữa nhà thầu chính và nhà thầu phụ.

Mặc dù có thể thuê nhà thầu phụ thực hiện một phần công việc, nhà thầu chính vẫn phải chịu trách nhiệm hoàn toàn về:

• Chất lượng công trình.
• Tiến độ thi công.
• An toàn lao động.
• Bảo vệ môi trường.

Do đó, nhà thầu chính cần thận trọng khi quyết định tỷ lệ khối lượng giao cho nhà thầu phụ, nhằm đảm bảo tuân thủ đúng các cam kết với chủ đầu tư.

6. Một số nguyên tắc về nhà thầu phụ

Một số nguyên tắc quan trọng liên quan đến việc sử dụng nhà thầu phụ như sau:

• Nhà thầu chỉ được ký hợp đồng với các nhà thầu phụ đã có tên trong danh sách được nêu tại điều kiện cụ thể của hồ sơ dự thầu.
• Việc sử dụng nhà thầu phụ không làm thay đổi nghĩa vụ của nhà thầu chính đối với chủ đầu tư.
• The prime contractor shall be responsible for the quantity, quality, progress, and other obligations related to the work performed by the subcontractor.
• Substitution or addition of subcontractors outside the original list shall only be made with the investor’s approval.
• The value of work performed by the subcontractor shall not exceed the percentage specified in the specific terms of the contract.
• The Contractor shall not use subcontractors for work not declared in the bid documents.

7. Regulations on subcontracting

According to Point b, Clause 3, Article 4 of Decree 37/2015/ND-CP, a subcontract is a construction contract signed between the main contractor (or general contractor) and a subcontractor.

This contract clearly defines the scope of work and the proportion of work that the subcontractor participates in. At the same time, it is also the basis for determining the rights and obligations of both the main contractor and the subcontractor during the implementation of the package.

In other words, a subcontract is an agreement between a main contractor and a subcontractor to carry out a part of the contract that the main contractor has won.

All contents of the subcontract must be consistent and consistent with the main contract signed with the investor.

Provisions for subcontracting include:

• The main contractor must enter into a contract with a subcontractor that has the appropriate professional capacity and operational capability.
• If using subcontractors other than those attached to the contract, the investor must give prior approval.
• The main contractor or general contractor may not assign the entire contract content to a subcontractor for implementation.
• If the main contractor is a foreign contractor, a subcontract may only be signed with a foreign contractor when the domestic subcontractor does not meet the requirements of the bid package.
• The general contractor or main contractor shall be responsible to the investor for the work performed by the subcontractor.
